1. Introduction

This Legal Notice (“Notice”) applies to your use of the Plytix website(s) (the “Site”), including but not limited to https://www.plytix.com and all subdomains. By using the Site, you agree to this Notice and confirm that you have read and understood it. If you do not agree, do not use the Site.

2. Company Identification

The Site is operated by Plytix S.L., a company incorporated under Spanish law. Plytix S.L. is part of the Plytix group of companies, which collectively operate under the "Plytix" brand. “Plytix” refers collectively to Plytix.com Inc., Plytix S.L. and Plytix.com ApS.

3. Terms of Use

The Site and its services are intended for users aged 18+. The use of the Site by minors is expressly prohibited. By using the Site, you agree to use it lawfully, responsibly, and in compliance with applicable laws, public order, and good faith. You must refrain from illicit, fraudulent, or harmful activities that may damage the interests of Plytix or third parties. You guarantee the accuracy and truthfulness of all data provided to Plytix and are solely liable for false or inaccurate statements. Prohibited activities include unauthorized use of intellectual property, posting illegal, defamatory, or harmful content, and exploiting vulnerabilities in the Site’s security systems.

4. Intellectual Property

All content on the Site, including but not limited to text, images, graphics, logos, software, and other materials, is the property of Plytix or its licensors and is protected by intellectual property laws, including copyright, trademark, and other applicable regulations. You may not copy, reproduce, distribute, modify, create derivative works of, or publicly display any content without prior written consent from Plytix. Unauthorized use of any materials on the Site may violate intellectual property laws and other applicable regulations.

5. Digital Millennium Copyright Act

Each Plytix entity has separately designated an agent to receive notifications of claimed infringement under the Digital Millennium Copyright Act (17 U.S.C. §512). The designated agent for all three entities is:

• A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
• A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner.

Please note that under 17 U.S.C. §512(f), any person who knowingly misrepresents that material or activity is infringing may be subject to liability.

Plytix does not endorse, control, or assume responsibility for the accuracy, legality, or appropriateness of such content or websites. Plytix shall not be liable for any damages or losses arising from your use of or reliance on third-party content or websites. You acknowledge that any access to or use of third-party content or websites is at your own risk, and you should review the terms and policies of such third parties before engaging with them.

7. Disclaimer of Warranties & No Guarantees

The Site and its content are provided “as is” and “as available” without warranties of any kind, either express or implied. Plytix does not guarantee the accuracy, completeness, reliability, or timeliness of any content on the Site. To the fullest extent permitted by law, Plytix disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Plytix shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from your use of or inability to use the Site, even if Plytix has been advised of the possibility of such damages. This includes, but is not limited to, damages for loss of profits, data, or business opportunities.

8. Security Obligations

Plytix implements reasonable measures to secure the Site; however, you acknowledge that security is a shared responsibility. You agree to maintain the security of your systems, including using up-to-date antivirus software, firewalls, and other protections. Plytix shall not be liable for damages or breaches resulting from your failure to meet these obligations.

9. Limitation of Liability & Indemnification

To the fullest extent permitted by law, Plytix shall not be liable for any damages, losses, or claims arising out of or in connection with your use of the Site, including but not limited to: (i) Errors, inaccuracies, or omissions in the content; (ii) Unavailability or interruption of the Site; (iii) Unauthorized access to or alteration of your data; (iv) Any other matter relating to the Site. This limitation of liability applies to all claims, whether based on contract, tort, negligence, strict liability, or otherwise, even if Plytix has been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless Plytix, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (i) Your use of the Site; (ii) Your violation of this Notice; (iii) Your infringement of any intellectual property or other rights of any third party; (iv) Any claims by third parties (e.g., your customers or partners) arising from your use of the Site.

11. Governing Law and Jurisdiction

Except as provided in the Digital Millennium Copyright Act section of this Notice, this Notice is governed by the laws of Spain, without regard to its conflict of law principles. Any disputes arising from or related to your use of the Site (other than those governed by the Digital Millennium Copyright Act section) shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain.

For any matters arising under the Digital Millennium Copyright Act (17 U.S.C. §512), the parties agree that such matters shall be governed by the laws of the United States and the State of Delaware, and the exclusive jurisdiction for such claims shall lie in the federal or state courts located in Delaware, USA.

Nothing in this Notice limits any rights you may have under applicable data protection laws, including the right to bring a claim before your local supervisory authority or courts as provided under the GDPR or equivalent legislation.
